Acceptance of terms and contracting party
Visiting a public page does not constitute a purchase. By registering an account, creating an API key, starting a conversation, calling the API, purchasing credits, or using restricted features, you acknowledge that you have read and agree to these Terms and the Privacy Policy.
The Service Provider and the contracting entity are TAIDA, which operates taidatech.ai and the Taida Nexus platform in Thailand. The contact address is Unit G101, Ground Floor, The Offices at Central World, 999/9 Rama I Road, Pathumwan, Bangkok 10330, Thailand, and the contact email is contact@taidatech.ai. If an enterprise agreement conflicts with these Terms, the business agreement signed by both parties prevails.
If you use the Services on behalf of a company or other organization, you confirm that you are fully authorized to accept these Terms on its behalf, and these Terms apply to both the organization and the actual user.
Eligibility and account security
- You must have the legal capacity required to use the Services. Minors may use the Services only with the consent and guidance of a guardian.
- Registration information must be true, accurate, and up to date. Do not impersonate others, register accounts in bulk, or buy, sell, or share accounts.
- Keep your passwords, two-factor authentication, recovery information, and API keys secure. Requests initiated through your account or key are deemed authorized by you, unless the law provides otherwise or the Platform is proven to be at fault.
- If you discover that your credentials have been disclosed or that an abnormal call or unauthorized access has occurred, revoke the key immediately, change your password, and notify the Platform through the contact channels on the website.
Portal services
Taida Nexus provides a unified model catalog, a compatible API, the Playground, key and credit management, usage records, a business ledger, model generation tasks, and related technical capabilities. Available models, context, rates, file types, generation parameters, regions, and prices are as shown in Models, Docs, the Dashboard, or API responses.
Model capabilities are provided by different vendors and may change due to vendor maintenance, quotas, policies, regional changes, or technology upgrades. The Platform will maintain compatibility to a reasonable extent but does not commit to the permanent availability of any third-party model, identical output, or support for all OpenAI parameters.
API keys and call rules
- Each API key can be configured with a model scope, spending limit, validity period, rate limit, or IP limit. You must not bypass or interfere with these controls.
- Do not expose keys in public repositories, front-end code, client install packages, logs, or untrusted environments.
- Set reasonable timeouts, retry limits, and concurrency. Unlimited retries from improper configuration, repeated submission of valid calls from asynchronous tasks, or leaked keys may all count toward usage.
- To keep the Services secure, stable, and fair, the Platform may set or adjust limits on concurrency, rate, single input size, file size, context, and daily quota.
Fees, limits, and reconciliation
Unless explicitly marked as free, model calls are charged by input tokens, output tokens, images, audio, video duration, or another stated unit. The applicable price is the price published on the Platform at the time of the request, unless an order or enterprise agreement states otherwise. "M tokens" means one million tokens.
The Console business ledger is generated from the gateway's original consumption logs and records requests, models, tokens, amounts, and request IDs. Because of network retries, streaming interruptions, vendor metering variance, or asynchronous task submission, the results you observe may differ in time from the ledger. On request, the Platform will check vendor records using the request ID.
Add funds, subscriptions, refunds, invoices, taxes, and limit validity are subject to the payment page and the rules in your order or business agreement. Where online payment is not yet available, packages shown on the page do not commit the Platform to making them available for purchase.
If you dispute a statement, submit your request within a reasonable time after discovering the issue, along with the request ID, time, model, and related logs. If the Platform verifies duplicate charges, metering errors, or charges for services not actually provided, the ledger will be corrected or a refund will be processed in accordance with the law.
User content and authorization
You retain all legal rights to your prompts, files, code, images, and other inputs, and you represent that you have the right to submit and process such content. You grant the Platform a limited, non-exclusive license, solely as necessary to provide, protect, and improve the requested service, including storing, copying, and converting the format of content, and transferring it to the model vendor of your choice.
The Platform does not take ownership of your User Content solely because of your use of the Services, and will not use private API content to train Platform-owned models without further notice and applicable authorization. You can manage conversation retention and deletion as described in the Privacy Policy.
Model output and usage responsibility
Generative models produce content based on probability, and output may be inaccurate, incomplete, outdated, biased, or similar to other users' results. Model output does not constitute medical, legal, financial, investment, safety, or other professional advice, and is not a substitute for the judgment of a qualified professional.
Before using output in production systems, automated decision-making, publications, critical business, or high-risk scenarios, you should perform manual review, fact-checking, safety testing, and any necessary professional review. When required by applicable law or the rules of a publishing platform, you should clearly label AI-generated text, images, audio, or video, and you must not delete, tamper with, or circumvent legally required labels.
Whether output can obtain copyright or other rights, and whether commercial use is permitted, depends on applicable law, your input, the model vendor's rules, and third-party rights. The Platform does not guarantee that output is unique, non-infringing, or fit for purpose.
Acceptable use rules
You may not use the Platform to engage in or facilitate any of the following activities:
- Generate or disseminate content prohibited by applicable law, or content that endangers public security, the public interest, or the legitimate interests of others;
- Produce or spread terrorism, extremism, pornography, severe violence, fraud, misleading content, or content harmful to minors;
- Infringe intellectual property rights, privacy, personal information rights, portrait rights, publicity rights, trade secrets, or other legitimate interests;
- Handle classified government information, regulated data, sensitive personal information, or the business secrets of others without authorization;
- Develop malware, conduct cyberattacks, bypass security controls, steal credentials, abuse resources at scale, or disrupt service stability;
- Impersonate others, falsify identities, or use generated content for deceptive manipulation, unlawful automated decision-making, or other high-risk uses;
- Resell, host, or share accounts and keys, or provide services in the Platform's name without the Platform's written authorization.
If unlawful or high-risk use is detected, the Platform may, based on the level of risk, issue warnings, limit model access, revoke keys, suspend accounts, stop transmissions, and take measures such as keeping records and reporting in accordance with the law. In emergencies, the Platform may act first and notify you afterwards.
Third-party models and services
The Platform provides model capabilities through partner model service providers and may use cloud computing, network, storage, security, and payment services. Third-party services may have separate terms, content policies, rates, and regional limits.
Taida Nexus is responsible for unified access, account and billing management, and security measures within the Platform's control. Model capabilities are independently controlled by third parties. In the event of vendor outages or upstream content policy changes, the Platform will coordinate within a reasonable scope but cannot guarantee matters beyond its control.
Platform intellectual property
The intellectual property rights in the Taida Nexus website, interfaces, documentation, brand, code, and platform services are owned by the Platform operator or the respective rights holder. Except as permitted by open source licenses, API documentation, or written permission, you must not copy brand logos, mirror the Platform, reverse engineer non-public components, or use Platform assets in a way that could cause confusion about the source.
The model gateway uses New API technology. The open source components of New API are used under its AGPLv3 license. Related rights belong to the original rights holder, and the Platform's name and business services do not make it an official New API service.
Service changes, suspension, and termination
We may adjust the Services due to maintenance, security, supplier changes, legal requirements, or product upgrades. For major changes, we will give as much advance notice as possible; emergency safety incidents or upstream failures may be handled without advance notice.
You can stop using the Services and request that your account data be handled. The Platform will suspend or terminate the Services only for reasonable reasons, including serious or repeated violations of these Terms, overdue payments, LLM safety risks, regulatory requirements, or where the Services objectively cannot continue. Except in emergencies, we will give reasonable notice and an opportunity to appeal, and handle remaining quota and data in accordance with the law.
Disclaimers and limitations of liability
The Platform does not exclude or limit liability for intentional misconduct, gross negligence, personal injury, fraud, or any other liability that cannot be excluded or limited by law. The following limitations of liability apply only to the extent permitted by law.
The Platform provides the Services on an "as is" and "as available" basis. Model output is not guaranteed to be completely accurate, continuous, uninterrupted, fit for all specific purposes, or free of third-party content. For losses that are reasonably foreseeable and directly caused by the Platform's default, the Platform bears responsibility in accordance with the law. Losses caused by unlawful use by the user, unsecured keys, direct reliance on model output without review, or events beyond a third party's control are borne by the responsible party in accordance with the law.
Service levels, compensation caps, data processing, confidentiality, and business continuity requirements for enterprise customers will be agreed separately in the enterprise agreement. Consumer rights under the law are not excluded by these Terms.
Governing law and dispute resolution
These Terms are governed by and interpreted under the laws of Thailand, but consumer protections that cannot be waived in your location still apply. In the event of a dispute, the parties will first attempt to resolve it through friendly negotiation. If negotiation fails, the dispute will be referred to the competent court in Bangkok, Thailand, unless applicable law requires otherwise for consumer disputes.
If any provision is found to be invalid or unenforceable, the validity of the remaining provisions is unaffected. The Platform's failure to exercise a right immediately does not constitute a waiver of that right.
